Best LLC Formation Services in Massachusetts

Two $500 bills come from one sentence. Section 12(d) of the Massachusetts LLC Act charges $500 to form the company and $500 again on every anniversary after, which makes the calendar the thing you are really buying.

How We Chose the Best LLC Services for Massachusetts

Massachusetts charges $500 to file a certificate of organization. It charges $500 again every year. Both come from section 12(d), which we read in full for this update. No state in our fee data charges more to file. So we weighted two things above all else. Does the service state the real total before checkout, and does it track the anniversary deadline the $500 report hangs on. Services that padded packages on top of a state bill this size ranked lowest. Our national testing set is 12 services, compared across every state, and 6 of them are ranked here for Massachusetts.

Northwest is our top pick for LLC formation. The $39 package carries a business address, domain, website, email, phone line and mail scanning, plus the filing itself and a year of registered agent service. An EIN and a prepared operating agreement sit in the $139 package, not this one. It is privately held, and the Corporate Guides know the state rules they are quoting. The dashboard is plain rather than polished. At $125 a year to renew, that is a fair trade.

Pros

  • The $39 entry package covers the state filing and a full year of registered agent service.
  • Business Identity comes free, a business address, domain, hosted website, email address and phone line.
  • Agent renewal has held at $125 a year for 20 years, with no contract and cancellation at any time.
  • Registered agent mail is scanned and uploaded to your account at no extra charge, with no document cap.
  • Every filing carries a 100% error-free guarantee, and Northwest files any correcting amendment at no cost.
  • U.S.-based Corporate Guides who actually answer the phone.

Cons

  • An EIN and a prepared operating agreement need the $139 Deluxe package, not the $39 one.
  • Same-day processing only comes with the $199 Premium package.
  • The free business address scans just five pieces of mail a year, unlimited scanning is $20 a month.
  • Customer support is not available on weekends.
  • Online cancellation process can be cumbersome.
  • The free phone line covers 10 calls and 10 texts a month, unlimited talk and text is a $9 a month upgrade.

Best For: Founders who want a complete business setup (formation, address, domain, email, website, phone) in one $39 entry package.

Premium

+ state fees, renews at $399/yr

  • All Pro features
  • Registered agent service included
  • Advanced Compliance Protection

ZenBusiness runs the smoothest filing in this category. The setup walks a first-time founder through every step, and the dashboard chases your deadlines for you. Starter is $0 and never renews, so a founder who buys nothing else pays the state and stops. The catch sits beside it. Pro renews at $199 a year and Premium at $399, and on Starter the EIN, the operating agreement and the agent are each priced on their own. A strong pick if you want a polished filing and you read the cart before you pay.

Pros

  • Starter is $0, you pay only the state fee
  • The dashboard is the clearest we have used
  • Phone support runs 7 days a week
  • A free first year of Worry-Free Compliance on Starter
  • Good mobile app, 4.6 stars on iOS

Cons

  • Heavy push for add-ons at checkout
  • On Starter the EIN, the operating agreement and the agent each cost extra, $99, $99 and $199 a year
  • Renewals climb, Pro at $199 a year and Premium at $399
  • Auto-renewing subscriptions are hard to cancel

Formation is the free part. The logo and website builders are easy to use, and the guided setup is beginner friendly. The catch is checkout. Plan prices stay hidden until the end, a $39 a month bookkeeping trial comes pre-checked, and the registered agent most founders need costs $199 a year. That puts the real first-year cost at $199 plus your state's filing fee. If you want branding and formation together, it works. If you only need the LLC, Northwest files for a flat $39 with no upsells.

Pros

  • Free Lite plan files the LLC for $0 plus your state fee
  • Beginner-friendly dashboard that is easy to navigate
  • Built-in logo maker and website builder in one dashboard
  • Customer support available on weekends
  • Guided questionnaire walks you through setup

Cons

  • Plan prices stay hidden until the end of the questionnaire
  • Pre-checked $39 a month bookkeeping trial you must cancel yourself
  • Registered agent service costs $199 a year, more than budget rivals

Best For: First-time founders who want LLC filing and basic branding tools in one place.

Premium

  • Free Year of Registered Agent ($119 Value)
  • EIN / TAX ID ($75 Value)
  • 24-hour Order Processing ($50 Value)

FileNow runs the cleanest checkout in this category. Two plans, no pre-checked add-ons, no hidden fees, and every price visible before you commit. The speed is real but it is priced. FileNow's own plan comparison puts 24-hour order processing inside the $199 Premium plan and values it at $50, and same day filing is a separate $75 to $150 add-on on either plan. The $49 Starter files your Articles and runs the name search, nothing more, and the registered agent costs $119 a year on top of it. Premium bundles the agent for a free first year, the EIN, an operating agreement, a banking resolution and contract templates, which FileNow lists at $443 of value against the $199 price.

Pros

  • Checkout is transparent, no pre-checked add-ons and no hidden fees
  • Premium at $199 includes 24-hour processing, a free agent year, the EIN and an operating agreement
  • Two plans only, so the choice takes a minute
  • Support runs on phone, chat and email
  • Every plan price is shown per state before you start

Cons

  • No free formation tier, the entry plan is $49
  • 24-hour processing belongs to Premium, the $49 Starter does not carry it
  • Same day filing is an extra $75 to $150 on either plan
  • Starter leaves out the registered agent, which is $119 a year
  • No ongoing compliance dashboard

Best For: Entrepreneurs who want a clean, upsell free checkout and will take the $199 Premium plan to get 24-hour processing.

Premium

  • Expedited processing (1 business day)
  • 2 months of unlimited attorney consultations

Swyft Filings lives up to its name by offering some of the fastest LLC formation times on the market. Their 5-step setup process is simple and easy for beginners to understand. However, their aggressive upsells and missing registered agent service make their $0 starting price highly deceptive. We recommend them only if you desperately need same-day processing and know exactly which add-ons to decline.

Pros

  • Exceptionally fast processing speeds
  • Streamlined 5-step application interface
  • Knowledgeable and responsive phone support
  • Basic package starts at $0 plus state fees
  • No confusing legal jargon during setup

Cons

  • Registered agent service is billed quarterly at $149, which is $596 a year
  • Aggressive multi-page upsell flow
  • Difficult cancellation process for ongoing subscriptions

Best For: Founders needing fast turnaround who can navigate heavy upsells.

Premium

  • Bookkeeping tools (6-month subscription)

LegalZoom relies heavily on its brand recognition to charge premium prices for basic services. While the platform is easy to navigate and offers excellent legal document libraries, the checkout process is a maze of expensive upsells and auto-renewing trials. We do not recommend it if you are on a budget. You will end up paying significantly more for registered agent and compliance services than you would with competitors.

Pros

  • Highly intuitive platform that is easy for absolute beginners to navigate.
  • Access to a massive library of legal documents and forms.
  • Long-standing brand reputation provides reliability and peace of mind.
  • Customer support is available seven days a week.
  • Basic LLC formation is free excluding mandatory state fees.

Cons

  • Incredibly aggressive upselling for simple tasks like obtaining an EIN.
  • Registered agent fees are heavily inflated at $249 per year.
  • Checkout includes pre-selected free trials that auto-renew at high prices.
  • Standard processing times are slow unless you pay a $99 expedite fee.

Best For: Founders prioritizing brand recognition and access to an extensive legal document library.

What Makes a Good LLC Service for Massachusetts Founders

That $500 report falls due on the anniversary of your own filing, not on a date the whole state shares. That is the bill people miss. We compared 6 formation services against what the statute actually charges.

Massachusetts asks for less about ownership than most guides claim. Section 12 never asks who the members are. Owners stay off it. It wants the name and address of each manager, if the company has managers at all. If it has none, it wants one person named who can sign filings. That is a name, not a home address.

The field that exposes a home based founder is a different one. The address is the exposure. Section 5 makes every LLC keep an office in the Commonwealth where its records live. Section 12 puts that office address on the public certificate. The office need not be a place of business. A founder working from a spare room publishes the spare room. Another address in that box changes that. Subsection (c) makes the annual report repeat it all. Whatever you put in that box, you republish every year.

The resident agent rule is narrower than it looks. Section 5 allows an individual living in Massachusetts, a domestic corporation, or a foreign corporation cleared to do business here. An LLC is not on that list. Ask what legal form your provider uses here.

There is no publication requirement here. That spares founders the newspaper bill New York imposes. Massachusetts takes it back on the anniversary instead.

What to Do After You File Your Massachusetts LLC

  1. Get your EIN from the IRS. It is free. It is issued online in minutes. You need it for a bank account or a hire. Apply at IRS.gov, never through a paid form.
  2. Check who is named as your resident agent. Section 5 allows an individual living in Massachusetts, a domestic corporation, or a foreign corporation cleared to do business here. An LLC cannot serve. If a service supplied the agent, confirm the name on the filed certificate is the one you bought.
  3. Register with the Department of Revenue if you sell anything taxable. The sales and use tax rate is 6.25 percent. Registration runs through MassTaxConnect.
  4. Put the annual report on a calendar today. It is due on your LLC's anniversary and costs $500 under section 12(d). Subsection (c) makes it repeat what your certificate said. Set a reminder now. Treat it as a yearly reissue of the filing, not a receipt.
  5. Skip the beneficial ownership report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Massachusetts LLC files nothing. A letter demanding a fee to file one is a scam, and FinCEN says so.
  6. Write an operating agreement anyway. Massachusetts does not require one. Banks ask for it. It is also what a court reads when someone argues that you and your LLC are the same thing.

Massachusetts LLC Tax Overview

Massachusetts taxes most personal and pass through income at a flat 5 percent. A 4 percent surtax sits on top. The threshold moves every year, so the round $1 million figure repeated across the web is out of date. For tax year 2026 the Department of Revenue puts it at $1,107,750. There is no franchise tax here. You would hardly notice. The $500 annual report already costs more than most states charge in franchise tax.

Hidden Costs to Watch Out For in Massachusetts

Horizontal bar chart of five year state costs for a New England LLC. Massachusetts $2,500, Rhode Island $2,350, Vermont $1,585, Maine $515, New Hampshire $502, Connecticut $440.
Filing fee plus four annual reports plus five years of any minimum state tax. Figures come from our own state fee data. Verified 26 July 2026. Massachusetts confirmed at MGL c.156C section 12(d) on 26 August 2026.
  • The $500 annual report, every year. Section 12(d) prices it the same as the certificate. Year ten costs what year one did, whether the company grew or sat still.
  • The anniversary deadline nobody shares. Your due date comes from the day you filed. No partner, accountant or forum thread can tell you when yours falls. Miss it and the Commonwealth starts down the road to administrative dissolution. The clock is yours alone.
  • The address you publish twice. The section 5 office address goes on the certificate, then on every annual report after. Changing it later is another filing.
  • Rhode Island is closer than it looks. Over five years Rhode Island costs roughly $150 less than Massachusetts once its $400 minimum tax is counted. The gap is small. A founder shopping New England on the filing fee alone is reading the wrong number.

Frequently Asked Questions About Massachusetts LLCs

How much does it cost to form an LLC in Massachusetts?

The certificate of organization costs $500. Section 12(d) of the Massachusetts LLC Act sets that fee, and the same subsection charges $500 for the annual report. So a Massachusetts LLC costs $1,000 in state fees over its first two years, before a provider charges anything. Filing online or by fax adds a surcharge on top. Check the payment screen. Do not assume $500 is the last number you see.

Does Massachusetts require a registered agent?

Yes. The statute is narrow about who qualifies. Section 5 allows an individual living in Massachusetts, a domestic corporation, or a foreign corporation cleared to do business here. The company must also keep a Massachusetts office where its records are held. That office address appears on the public certificate.

Whose name goes on a Massachusetts certificate of organization?

Not the members. Section 12 asks for the name and address of each manager, if there are managers. If there are none, it asks for the name of one person who can sign filings. It also asks for the resident agent and the address of the company's Massachusetts office. So this is not an anonymous filing state. For a member managed LLC it publishes a signature authority and an address. Not a list of owners.

When is the Massachusetts annual report due?

On the anniversary of the day your certificate was filed. There is no shared statewide deadline. That is why the date is easy to lose. The fee is $500, with no reduced rate for a dormant or tiny company. Lose good standing and the company drifts toward administrative dissolution. Getting it back means filing the reports you skipped.

Is Massachusetts really the most expensive state for an LLC?

For the filing itself, yes. At $500 it is the highest formation fee in our state fee data. Texas and Tennessee come next at $300. Over five years the picture is closer than the headline suggests. Count fees, reports and minimum state taxes. Massachusetts runs about $2,500. Rhode Island runs about $2,350. Connecticut runs about $440.
