Best Registered Agent Services in Minnesota

Minnesota asks for a registered office and only offers you a registered agent. Section 322C.0113 says every LLC shall have a registered office and may have a registered agent. Section 5.36 fills in the rest. The address cannot be a P.O. box. It has to be an actual office location. Name an agent and its business office must sit at that same address.

That address does the work most states give to a person. No members or managers go on the Articles of Organization. For a lot of LLCs the registered office is the only address in the public record. A service swaps in its own.

The Annual Renewal costs nothing. The deadline is what matters. File by December 31 or the state dissolves the LLC. Getting it back costs $25 by mail or $45 online. That sits on top of the renewal you skipped. Free to keep, paid to recover.

1. Check that your registered office address is right on the Secretary of State's business search. A typo here is a missed lawsuit later.
2. Apply for an EIN from the IRS. It is free. You need it to open a bank account and to file federal returns.
3. Open a business bank account with your Articles of Organization, EIN letter and operating agreement.
4. Put December 31 in a calendar. That is the Annual Renewal. It costs nothing to file. Your first one is due in the calendar year after you formed.
5. Register for a Minnesota Tax ID if you will collect sales tax or run payroll. Look up your own rate. Local rates ride on top of the state one.
