What Makes a Good LLC Service for North Carolina Founders

A good North Carolina LLC service is judged on year two, not year one. The state charges $125 to file and $203 every year after, so the renewal price a provider charges for registered agent service is what decides your real cost. Year two is where it hurts. Virginia and Georgia charge $50 a year. South Carolina LLCs file no annual report at all.

North Carolina keeps owner names off the Articles of Organization. Then it asks for them every year. G.S. 57D-2-21 wants the name, the agent, and whoever signs. The signer is flagged as a member or an organizer. Let an organizer sign and no owner is named. Most guides stop right there. The annual report is the other half. G.S. 57D-2-24 makes it carry the names, titles and business addresses of your principal company officials. It is due April 15, with the $203. So the privacy lasts until your first April. A private North Carolina LLC is one filing that skips the next. New Mexico and Wyoming ask for neither.

Two smaller numbers matter before you pick a service. Reserving a name costs $10. That buys 120 days. Most guides quote $30, but $30 is the corporation fee, and LLCs pay $10 on the same schedule. Changing your registered agent later costs $5, and an agent who resigns pays nothing.

Speed is the other thing founders shop on here, and the state is the bottleneck. The Secretary of State's own turnaround board read 10 to 15 business days for entity creation on 3 September 2026, unchanged since 26 August and down from 15 to 20 on 12 August. No formation service can shorten that queue. What a fast service buys you is same day submission. What $100 or $200 buys you is the state's own expedite lane. Judge speed on those two things.

North Carolina charges no franchise tax on a normal LLC. Tennessee does. It runs a $100 minimum on top of a $300 annual report. Delaware bills a flat $400 a year, up from $300 on January 1, 2026. What to Do After You File Your North Carolina LLC

  1. Appoint a registered agent immediately. The agent must be a North Carolina resident, or a business authorized to operate in the state, with a physical street address. A P.O. Box will not work. Changing the agent later is a $5 filing.
  2. Get an EIN from the IRS, free. You need it before you open a business bank account or run payroll. It costs nothing. Apply on the IRS site and it issues instantly.
  3. Draft an operating agreement. North Carolina does not require one. Banks and investors will ask for it anyway, and it protects your liability shield if the LLC is ever challenged.
  4. File the annual report by April 15. It costs $200 on paper and $203 by card. There is no late fee. The state can start dissolving you 60 days after the due date, then mails a notice giving you another 60 days to fix it (G.S. 57D-6-06).
  5. Register with the NC Department of Revenue. If you sell taxable goods you collect 4.75% state sales tax plus local rates. Charlotte is 8.25% since July 1, 2026.
  6. Check local licenses. North Carolina has no general state business license. Counties and cities often have their own, so call your county clerk before you open.

North Carolina LLC Tax Overview

North Carolina's income tax is flat at 3.99% for 2026, down from 4.25% in 2025, and LLC profits pass through to your personal return. NCDOR says further rate changes may start in 2027 if the state hits its revenue triggers. There is no franchise tax on a normal LLC. Electing C corporation status is what changes that, because NCDOR then treats the LLC as reporting at the entity level. State sales tax is 4.75%. Mecklenburg County added 1% on July 1, 2026, so Charlotte businesses now collect 8.25% combined.

Hidden Costs to Watch Out For in North Carolina

North Carolina charges $203 a year to keep an LLC alive, and that is the recurring cost most owners miss.

  • $203 annual report, or $200 - The report is $200 on paper. Online it is $202 by bank draft and $203 by card, because the state adds an electronic filing fee. It is due April 15 every year after the year you form. Paper is the cheap route.
  • $100 or $200 to skip the state queue - The Secretary of State's own turnaround board read 10 to 15 business days for entity creation on 3 September 2026. It read 15 to 20 in mid August, so check it yourself. Expedited service is $100 for 24 hours, or $200 for same day, and same day only works if your filing lands before noon. That cutoff is hard.
  • $250 to bring in an out of state LLC - A foreign LLC registering here pays $250, double the domestic fee.
  • $100 to get reinstated - If the state dissolves you over a missed report, coming back costs $100 plus every late report fee.
  • $5 to change your agent - Cheap, but it is a filing. Forgetting it is one of the five grounds the state can dissolve you on. Do not skip it.

Is the North Carolina annual report $200 or $203?

Both, and the difference is how you pay. The report itself is $200. Filing online adds an electronic fee, $2 by bank draft and $3 by credit card, so the online total is $202 or $203. Paper filing avoids the fee but is slower and easier to lose. Most owners pay $203 without noticing why.

Can I form in another state to avoid the $203 annual report?

Not if you operate in North Carolina. An out of state LLC doing business here must register as a foreign LLC, which costs $250 up front and still owes the $203 report. You end up paying two states instead of one. Form where you actually work.

Not for the filing itself. You can file the Articles of Organization yourself for $125, and most founders could manage it in an afternoon. So the annual report is cheaper if I post it than if I file it on the site. That is backwards from every other thing government does. Am I reading the numbers above right?

You are reading them right. The report is $200 on paper as I write this. Online it is $202 if you pay by bank draft and $203 by card, because the state adds an electronic filing fee on top. So the convenient route costs a couple of dollars more, which is unusual but not sinister, the surcharge is the state passing on the cost of the portal. Two or three dollars a year is not worth a stamp and a trip to the post box for most people, and filing online gives you an instant confirmation that the April 15 deadline was met. Pay by bank draft rather than card if you want the difference to be one dollar instead of three.
