What Makes a Good LLC Service for Nevada Founders

Nevada is one of a few states that offers Series LLCs. A series is a walled off division inside one parent LLC, with its own liability shield and no separate filing. Each series stands alone. Real estate investors use them to hold one property per series, and our Nevada LLC guide walks through the filing itself.

Nevada privacy is narrower than the marketing around it. What counts is which name goes on which form. The Initial List asks for the names, titles and addresses of all managers, or, where there is no manager, all managing members (NRS 86.263). No other owner is named. So a manager-managed LLC keeps its passive owners off the public record and puts the manager on it. A member-managed one names whoever runs the company. That is cover for a silent investor and none at all for a solo founder.

Wyoming does keep more names off the record. Here is how. Its Articles of Organization has five fields. Not one of them asks for an owner. You give the company name and the close LLC election. Then the registered agent, a mailing address and a principal office address. The only human the form wants is the organizer who signs it. And the state warns that every signature goes public on filing. Hire the filing out and that signature is your formation service, not you.

Nevada writes charging order protection into statute. NRS 86.401 makes the charging order the exclusive remedy. That is the only way a creditor reaches a member's interest. It says so whether the company has one member or many. Foreclosure on that interest is ruled out by name. Win a judgment against the owner and you get the distributions. Nothing else.

There is a Commerce Tax on gross revenue above $4,000,000, at rates that vary by industry. Below that, you owe nothing. It stands in for a corporate income tax.

What to Do After You File Your Nevada LLC

  1. File your Initial List of Managers or Managing Members ($150). This is due at the same time as your Articles of Organization. Most formation services include this in their Nevada filing package. Not every one does. Check yours before you pay.
  2. Obtain your State Business License ($200 annually). Every Nevada LLC must hold a State Business License issued by the Secretary of State. You buy it at formation and renew it each year alongside your Annual List. Small LLCs get no exemption.
  3. Appoint a registered agent with a physical Nevada street address. NRS 86.231 makes that street address your registered office. A P.O. Box does not qualify. The agent can be a person who lives in Nevada, or a company authorized to act as one.
  4. File your Annual List and renew your Business License ($350 total) by the last day of your formation anniversary month each year. Miss it and Nevada adds $175. Your LLC then sits in "Default" status, and keeps sitting there until the charter is revoked.
  5. Skip the BOI report. FinCEN exempted every company formed in the United States in March 2025. A final rule made that permanent on 14 August 2026. A domestic Nevada LLC files nothing. Only companies formed abroad still report. A letter asking for a fee to file one is a scam, and FinCEN says so.
  6. Draft an operating agreement. NRS 86.286 says you may adopt one, not that you must. Banks, investors and the IRS will still ask for it, and it shores up your liability shield in court.

Nevada LLC Tax Overview

Nevada has no state income tax, no franchise tax, and no corporate tax. Federal tax still applies. Your LLC is taxed by default as a sole proprietorship if you are the only owner, or as a partnership if there are several. The one state tax to watch is the Commerce Tax, and it bites only when Nevada gross revenue passes $4 million. At or below that figure you file no return at all.

Hidden Costs to Watch Out For in Nevada

  • Initial List Filing Fee ($150) - Due at formation, on top of the $75 Articles of Organization fee. It is not optional.
  • State Business License ($200/year) - Every Nevada LLC must pay this annually. It is separate from the $150 Annual List fee. Both fall due together. Budget $350 a year.
  • Late Filing Penalty ($175) - Miss the renewal deadline and Nevada adds $75 on the list and $100 on the license. Your LLC enters Default status.
  • Reinstatement Fee ($300+) - If the state revokes your LLC, coming back costs $300. You also owe every missed fee. And every penalty on top.
