Best LLC Formation Services in Maine

Maine still takes formation documents on paper only. A handful of states do. That makes a formation service worth more here than in a state with instant online filing, and it makes the state's own price list worth reading before you compare anybody's package.

Maine charges every filer the same $175. The wait is the part you can buy down. Standard filing costs $175 and takes 40 to 55 business days. Next business day handling costs $225 all in. Same business day costs $275. Fees are set in 31 M.R.S. §1680 and in the Secretary of State's expedited service rule, and the processing figure was read at the Bureau on 29 August 2026. Expedited service depends on staffing, and the Bureau warns that expedited requests are themselves delayed by volume.

Neighboring New Hampshire has no state income tax on wages, and Maine taxes personal income up to 7.15%. Founders read that as a reason to file across the border. It does not work. New Hampshire taxes the company instead of the owner, a 7.5% Business Profits Tax on the LLC itself, with a 0.55% Business Enterprise Tax underneath it.

Your agent need not live here. Maine's Model Registered Agents Act asks for a person or a business that will accept legal papers in the state, and item FIFTH of Form MLLC-6 asks that agent for a physical location, not a P.O. Box. A commercial agent has filed a listing with the Secretary of State and gives a Maine street address of its own. Name yourself and that street address is yours, printed on a public filing anybody can search.

1. Get your approved Certificate of Formation back from the Secretary of State. Maine is mail-only. Keep tracking numbers for anything you send.
2. Put your operating agreement in writing. Maine does not require this. The statute accepts oral and implied agreements, and treats one as existing the moment you file with members. Still write it down. A bank will ask to see a document, and a court reads the written one if members ever fall out.
3. Apply for an EIN from the IRS. It is free. You need it before you open a business bank account or hire anyone.
4. Register with Maine Revenue Services if you will collect sales tax or hire staff. The state rate is 5.5%. You can register on the Maine Tax Portal.
5. File your Annual Report by June 1st. The fee is $85 for a Maine company, $150 if you registered a company formed in another state. Your first one is due in the calendar year after the year you formed, so a company formed in 2026 files by 1 June 2027, and every June after that. This one you can file online. Your formation could not.
6. Know what missing that date costs. It escalates. The late penalty is $50 on top of the $85. Ignore it long enough and the Secretary of State administratively dissolves the company. Getting it back costs $150 for the missed reports, capped at $600 however many years you skipped, plus a separate $150 for every other ground the state holds against you.
7. Skip the federal Beneficial Ownership Information (BOI) report. FinCEN exempted every company created in the United States in an interim final rule published 26 March 2025, and Maine's own Bureau of Corporations repeats that exemption on its LLC forms page. A final rule made that permanent on 14 August 2026. So a domestic Maine LLC files nothing. Only entities formed under foreign law and registered here still report. A letter asking for a fee to file one is a scam, and FinCEN says so.

• Operating Agreement, sold as a legal requirement - Most services charge $35 to $99 for one. Several call it required in Maine. It is not. Buy it for the bank and the co-founder talk, not for the statute.
• $85 Annual Report - Due each year by June 1st. Miss it and a $50 penalty lands. Keep ignoring it and the state dissolves your LLC.
• $50 or $100 Expedited Processing - Maine sells two tiers, $50 for next business day and $100 for same day. Neither is a promise. The Bureau warns expedited requests are delayed by volume, and its own rule refunds the fee only when the delay is the Division's fault. Send an incomplete filing and you forfeit it.
• $150 Reinstatement - Dissolution is reversible. It is not cheap. Missed annual reports cost $150 to clear, capped at $600 however many you skipped. Every other ground carries its own $150 outside that ceiling, and section 1680(17) lists four, an unpaid late penalty, no registered agent, an unreported agent change and false information.
• $30 Certificate of Good Standing - Maine calls it a certificate of existence. Banks and lenders ask for one. The fee is $30 every time you order it.
• $250 Foreign LLC Registration - Already formed elsewhere? Bringing that company into Maine costs $250. Its annual report is then $150, not $85.
