What Makes a Good LLC Service for Florida Founders

Florida has no state income tax. Profits pass through to your personal return, where federal tax and self employment tax are the only bills waiting. That is why so many out of state founders file here.

Florida does not hide owners. The Articles of Organization never ask for member or manager names. Your first annual report does, and it lands on Sunbiz for anyone to read. Privacy is not the reason to pick Florida.

Florida only started allowing protected series on July 1, 2026. A protected series lets one LLC hold separate pools of assets, each walled off from the others' creditors, under section 605.2201 of the Florida Statutes. That is useful if you own three rental houses and want one lawsuit to stay with one house. Setting one up needs a unanimous member vote and its own filing with the state. No service has real experience yet.

Your registered agent needs a street address in Florida. Someone has to be at it during business hours, and a P.O. Box will not do. Without a Florida address of your own, you are buying a commercial agent, and we compare those on our Florida registered agent guide. That line item decides what your second year costs.

What to Do After You File Your Florida LLC

  1. Get your EIN free from the IRS. It takes about ten minutes online. You need it for a bank account, employees, and federal tax returns.
  2. File your first annual report by May 1 of the year after you form. The fee is $138.75 through Sunbiz. This is where Florida first collects member and manager names.
  3. Ask your county about a local business tax receipt. Most Florida counties want one. They run $25 to $200, depending on where you are and what you sell.
  4. Open a business bank account early. Mixing personal and company money is the fastest way to lose the liability protection you just paid for.
  5. Register for a sales tax certificate with the Florida Department of Revenue if you sell goods or taxable services. Florida charges 6% at the state level. County surtaxes run 0.5% to 2% on top, and a few counties add none.
  6. Skip the BOI report. FinCEN made the exemption permanent in a final rule that took effect on 14 August 2026, so your Florida LLC files nothing. Only companies formed abroad still report, and they no longer name their US owners. Anyone who emails you a bill for a BOI filing is running a scam, and FinCEN says so itself.

Florida LLC Tax Overview

Florida taxes no pass-through LLC income. Federal tax is the whole bill, and Texas and Wyoming work the same way. Elect C corporation treatment and that stops being true, because Florida then charges 5.5% on net income above a $50,000 exemption. What differs otherwise is the price of staying registered. Florida's $138.75 annual report is more than double Wyoming's $60, and that flat $400 late fee has no equal in the group.

  • $138.75 annual report. It falls due every May 1 through Sunbiz. Dormant companies pay it too.
  • $400 late fee. File after May 1 and the same report costs $538.75. There is no grace period and no waiver.
  • Administrative dissolution. Ignore the report past the third Friday in September and the state dissolves your LLC on the fourth Friday. In 2026 that is September 18 and September 25. A check has to be in by September 18, and a card payment goes through until 5pm on September 25.
  • $100 reinstatement. Getting a dissolved company back costs $100 plus every report you skipped.
  • Agent renewal. This is the other yearly bill. It runs $99 to $297, depending on who you hired.
  • Documentary stamp tax on property you move in. Florida taxes the deed, not the company. Move in a property you own free and clear and the tax is 70 cents. Move in one with a mortgage and the loan balance counts as the price paid. That holds whether the LLC takes on the loan or not. A $300,000 mortgage costs $2,100, at 70 cents per $100. In Miami-Dade the rate is 60 cents, plus a 45 cent surtax on all but a single family home.
