How We Chose the Best LLC Services for California

California's $800 yearly tax decides the first year for a new LLC. So clear pricing and compliance help matter more here than in any state we cover. Every price includes the $70 state fee. We scored each service on how well it explains three things. The Statement of Information deadline, the franchise tax schedule, and city business licensing. Those are what trip up new founders here. The twelve in the box below is our national count, the formation services we test across all fifty states. Six of them earn a place in California, and those six are the ones on this page.

The biggest number on this page is the $800 annual franchise tax. Every California LLC owes it. The first payment lands by the 15th day of the 4th month after formation, profitable or not. Add the $70 filing fee and the $20 Statement of Information and year one costs $890 in state charges before you earn a dollar. A cheap formation package matters more here than almost anywhere else.

Northwest is our top pick for LLC formation. The $39 package carries a business address, domain, website, email, phone line and mail scanning, plus the filing itself and a year of registered agent service. An EIN and a prepared operating agreement sit in the $139 package, not this one. It is privately held, and the Corporate Guides know the state rules they are quoting. The dashboard is plain rather than polished. At $125 a year to renew, that is a fair trade.

Pros

  • The $39 entry package covers the state filing and a full year of registered agent service.
  • Business Identity comes free, a business address, domain, hosted website, email address and phone line.
  • Agent renewal has held at $125 a year for 20 years, with no contract and cancellation at any time.
  • Registered agent mail is scanned and uploaded to your account at no extra charge, with no document cap.
  • Every filing carries a 100% error-free guarantee, and Northwest files any correcting amendment at no cost.
  • U.S.-based Corporate Guides who actually answer the phone.

Cons

  • An EIN and a prepared operating agreement need the $139 Deluxe package, not the $39 one.
  • Same-day processing only comes with the $199 Premium package.
  • The free business address scans just five pieces of mail a year, unlimited scanning is $20 a month.
  • Customer support is not available on weekends.
  • Online cancellation process can be cumbersome.
  • The free phone line covers 10 calls and 10 texts a month, unlimited talk and text is a $9 a month upgrade.

Best For: Founders who want a complete business setup (formation, address, domain, email, website, phone) in one $39 entry package.

Premium

  • All Pro features
  • Registered agent service included
  • Advanced Compliance Protection

ZenBusiness runs the smoothest filing in this category. The setup walks a first-time founder through every step, and the dashboard chases your deadlines for you. Starter is $0 and never renews, so a founder who buys nothing else pays the state and stops. The catch sits beside it. Pro renews at $199 a year and Premium at $399, and on Starter the EIN, the operating agreement and the agent are each priced on their own. A strong pick if you want a polished filing and you read the cart before you pay.

Pros

  • Starter is $0, you pay only the state fee
  • The dashboard is the clearest we have used
  • Phone support runs 7 days a week
  • A free first year of Worry-Free Compliance on Starter
  • Good mobile app, 4.6 stars on iOS

Cons

  • Heavy push for add-ons at checkout
  • On Starter the EIN, the operating agreement and the agent each cost extra, $99, $99 and $199 a year
  • Renewals climb, Pro at $199 a year and Premium at $399
  • Auto-renewing subscriptions are hard to cancel

Formation is the free part. The logo and website builders are easy to use, and the guided setup is beginner friendly. The catch is checkout. Plan prices stay hidden until the end, a $39 a month bookkeeping trial comes pre-checked, and the registered agent most founders need costs $199 a year. That puts the real first-year cost at $199 plus your state's filing fee. If you want branding and formation together, it works. If you only need the LLC, Northwest files for a flat $39 with no upsells.

Pros

  • Free Lite plan files the LLC for $0 plus your state fee
  • Beginner-friendly dashboard that is easy to navigate
  • Built-in logo maker and website builder in one dashboard
  • Customer support available on weekends
  • Guided questionnaire walks you through setup

Cons

  • Plan prices stay hidden until the end of the questionnaire
  • Pre-checked $39 a month bookkeeping trial you must cancel yourself
  • Registered agent service costs $199 a year, more than budget rivals

Best For: First-time founders who want LLC filing and basic branding tools in one place.

  • Free Year of Registered Agent ($119 Value)
  • EIN / TAX ID ($75 Value)
  • 24-hour Order Processing ($50 Value)

FileNow runs the cleanest checkout in this category. Two plans, no pre-checked add-ons, no hidden fees, and every price visible before you commit. The speed is real but it is priced. FileNow's own plan comparison puts 24-hour order processing inside the $199 Premium plan and values it at $50, and same day filing is a separate $75 to $150 add-on on either plan. The $49 Starter files your Articles and runs the name search, nothing more, and the registered agent costs $119 a year on top of it. Premium bundles the agent for a free first year, the EIN, an operating agreement, a banking resolution and contract templates, which FileNow lists at $443 of value against the $199 price.

Pros

  • Checkout is transparent, no pre-checked add-ons and no hidden fees
  • Premium at $199 includes 24-hour processing, a free agent year, the EIN and an operating agreement
  • Two plans only, so the choice takes a minute
  • Support runs on phone, chat and email
  • Every plan price is shown per state before you start

Cons

  • No free formation tier, the entry plan is $49
  • 24-hour processing belongs to Premium, the $49 Starter does not carry it
  • Same day filing is an extra $75 to $150 on either plan
  • Starter leaves out the registered agent, which is $119 a year
  • No ongoing compliance dashboard

Best For: Entrepreneurs who want a clean, upsell free checkout and will take the $199 Premium plan to get 24-hour processing.

Swyft Filings lives up to its name by offering some of the fastest LLC formation times on the market. Their 5-step setup process is simple and easy for beginners to understand. However, their aggressive upsells and missing registered agent service make their $0 starting price highly deceptive. We recommend them only if you desperately need same-day processing and know exactly which add-ons to decline.

Pros

  • Exceptionally fast processing speeds
  • Streamlined 5-step application interface
  • Knowledgeable and responsive phone support
  • Basic package starts at $0 plus state fees
  • No confusing legal jargon during setup

Cons

  • Registered agent service is billed quarterly at $149, which is $596 a year
  • Aggressive multi-page upsell flow
  • Difficult cancellation process for ongoing subscriptions

Best For: Founders needing fast turnaround who can navigate heavy upsells.

LegalZoom relies heavily on its brand recognition to charge premium prices for basic services. While the platform is easy to navigate and offers excellent legal document libraries, the checkout process is a maze of expensive upsells and auto-renewing trials. We do not recommend it if you are on a budget. You will end up paying significantly more for registered agent and compliance services than you would with competitors.

Pros

  • Highly intuitive platform that is easy for absolute beginners to navigate.
  • Access to a massive library of legal documents and forms.
  • Long-standing brand reputation provides reliability and peace of mind.
  • Customer support is available seven days a week.
  • Basic LLC formation is free excluding mandatory state fees.

Cons

  • Incredibly aggressive upselling for simple tasks like obtaining an EIN.
  • Registered agent fees are heavily inflated at $249 per year.
  • Checkout includes pre-selected free trials that auto-renew at high prices.
  • Standard processing times are slow unless you pay a $99 expedite fee.

Best For: Founders prioritizing brand recognition and access to an extensive legal document library.

What Makes a Good LLC Service for California Founders

The $800 minimum franchise tax is the whole story of California LLC costs. You owe it every year, profit or none. For scale, Nevada's annual list and business license total about $350 a year. Texas charges most small LLCs no annual tax at all. Its threshold sits at $2.65 million.

California requires an operating agreement by law. Few states do. The state never sees it. It must still exist, filled in and signed. If your package only hands you a blank template, finishing it is on you.

Your LLC must file an Initial Statement of Information within 90 days of formation. It costs $20, at bizfileOnline.sos.ca.gov. Miss it and the penalty is $250. Since August 1, 2026 the portal hides that filing option at first. Your LLC must set up User Access before it appears. That is the state's answer to strangers filing on company records. If a service files for you, ask whose account holds access to your record. Terminations have needed Full Access since July 1.

Anonymous LLCs are not available in California. It helps to know which filing exposes you. The Articles of Organization never ask for a member or a manager by name. The Statement of Information does. It is due within 90 days, then every two years. Corp. Code 17702.09 wants at least one manager named. If you have no manager, it wants every member. So the privacy runs out on day 90, not at formation. Forming in New Mexico or Wyoming adds a $70 fee to register here. The $800 follows you anyway. The FTB charges every LLC doing business in California, wherever it formed.

A series LLC cannot be formed in California. Each series owes its own $800. An out-of-state series doing business here must register with the Secretary of State. The Franchise Tax Board treats every series in the group as its own taxpayer. So the Wyoming series pitch multiplies the bill rather than escaping it.

What to Do After You File Your California LLC

  1. File your Initial Statement of Information within 90 days of formation at bizfileOnline.sos.ca.gov. The fee is $20 and the late penalty is $250. Since August 1, 2026 you must set up User Access on the portal before the filing option appears. Do that the week you form.
  2. Pay the $800 franchise tax by the 15th day of the 4th month after formation. It goes to the Franchise Tax Board, not the Secretary of State. Use Form 3522.
  3. Draft and sign your operating agreement. California law requires this document. It is never filed with the state, but you must have one on record.
  4. Get an EIN from the IRS. This is free and takes about 10 minutes online. You need it to open a business bank account and hire employees.
  5. Check whether your city requires a local business license. California has no general state license. Most big cities run their own registration. Los Angeles, San Francisco and San Diego all do, and some charge yearly fees.
  6. Skip the federal Beneficial Ownership Information (BOI) report. FinCEN exempted every U.S. formed company in an interim final rule of 26 March 2025. A final rule made that permanent on 14 August 2026. A domestic California LLC files nothing. Letters charging a fee to file one are scams, and FinCEN says so.

California LLC Tax Overview

California charges every LLC an $800 minimum franchise tax each year, due to the Franchise Tax Board on Form 3522. It runs until you cancel the company, not until you stop working. Cross $250,000 in gross receipts and a second bill starts. That LLC fee runs from $900 at the first tier to $11,790 past $5 million, estimated by the 15th day of the 6th month. Profits pass through to your return. The one exit the FTB publishes is the short form cancellation. Close the LLC within its first year and the first $800 never comes due.

Hidden Costs to Watch Out For in California

  • $800 Franchise Tax in Year One - Due by the 15th day of the 4th month after formation, even at zero revenue. The 2021 to 2023 first-year waiver is gone. One escape exists. Cancel within the first year using the short form and the first $800 never comes due.
  • $20 Statement of Information (Within 90 Days) - Mandatory post-formation filing. The penalty for skipping it is $250. Since August 2026 the online option only appears after your LLC grants User Access on the state portal.
  • Paying for Speed You May Not Need - California publishes three paid speeds. The 24-hour filing costs $350 and the same-day filing costs $750, and both can be bought online. The four-hour filing is listed at $500, but the state only accepts a document for it that has already been precleared for another $500, and both steps are drop-off only in Sacramento. So the fastest lane really costs $1,000. On August 29, 2026 the state's own dashboard was still reviewing online filings received on August 26, about two business days behind. Check that dashboard first. Buying speed often buys nothing.
  • Suspension Has No Price Tag - California sells no reinstatement. A suspended LLC comes back the hard way. File every missed return. Pay every missed $800 with penalties, plus the $250 Statement of Information penalty. Your name goes up for grabs too. The state can hand it to someone else before you revive.
Horizontal bar chart of California LLC filing speed prices. Standard online filing costs nothing extra, and on August 29, 2026 the state was still reviewing online filings received on August 26. The 24-hour expedite costs $350, the same-day filing costs $750, and the four-hour filing costs $1,000 all in, being a $500 filing fee plus $500 preclearance.
Source, California Secretary of State service options and current processing dates pages, both read 29 August 2026.

Frequently Asked Questions About California LLCs

How much does it cost to form an LLC in California?

The state filing fee is $70. Your true first-year cost is at least $890. California adds an $800 minimum franchise tax due by the 15th day of the 4th month after formation, plus a $20 Statement of Information due within 90 days. Formation service fees, if you use one, add $0 to $299 depending on the package.

Does California require a registered agent?

Yes. Your agent must live in California at a street address. A corporation can serve instead if it has a Section 1505 Certificate on file. A PO Box does not work. Your LLC cannot act as its own agent. The address goes on the public record. Use a commercial agent if you work from home and want your address off the file.

How long does LLC formation take in California?

Check the Secretary of State's processing dates page for the live answer. On August 11, 2026 it showed online filings received the previous business day under review, roughly a one day turnaround. Mail ran about a week behind. If you need a guarantee, the state sells a 24-hour expedite for $350 and same-day service for $750.

Do I have to pay the $800 California franchise tax even if my LLC makes no money?

Yes. The $800 minimum franchise tax applies to every California LLC. Income does not matter. It is due by the 15th day of the 4th month after formation, then every year. Above $250,000 in gross receipts a separate LLC fee starts at $900 and tops out at $11,790.

Can I form a series LLC in California?

No. California does not allow series LLCs under its own law. An out-of-state series must register before doing business here. The FTB treats each series as its own taxpayer. Each one owes the $800 annual tax. Forming a series elsewhere multiplies the bill.
